1. Agreement to Terms

By accessing or using the services provided by Freelance Writer Services ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our services.

2. Services Description

Freelance Writer Services provides professional content writing services including but not limited to:

  • Blog and article writing
  • Website copywriting
  • Technical documentation
  • Email marketing content
  • Social media content
  • White papers and case studies
  • Content strategy consulting

3. Client Responsibilities

3.1 Information Provision

Client agrees to provide:

  • Clear project requirements and objectives
  • Necessary background information and resources
  • Timely feedback and approvals
  • Access to required platforms or tools

3.2 Content Accuracy

Client is responsible for the accuracy of all information provided and for reviewing all content before publication.

3.3 Legal Compliance

Client ensures that requested content complies with all applicable laws and regulations in their jurisdiction.

4. Project Terms

4.1 Project Initiation

Projects commence upon:

  • Signed agreement or email confirmation
  • Receipt of initial payment (if applicable)
  • Clear project brief submission

4.2 Timelines

Delivery timelines are estimated based on project scope and begin after receiving all necessary information. Delays in client feedback may extend delivery dates.

4.3 Revisions

Standard projects include:

  • Two (2) rounds of revisions within scope
  • Revisions requested within 14 days of delivery
  • Additional revisions subject to additional fees

4.4 Scope Changes

Changes to project scope after commencement may result in adjusted timelines and fees.

5. Payment Terms

5.1 Pricing

Prices are as quoted and agreed upon before project commencement. All prices are in USD unless otherwise specified.

5.2 Payment Schedule

  • Projects under $1,000: Full payment upon completion
  • Projects $1,000-$5,000: 50% deposit, 50% on completion
  • Projects over $5,000: Custom payment schedule

5.3 Late Payment

Invoices are due within 30 days. Late payments may incur a 1.5% monthly fee. We reserve the right to pause work on outstanding accounts.

5.4 Refunds

Refunds are evaluated case-by-case. Work completed according to specifications is non-refundable.

6. Intellectual Property Rights

6.1 Ownership Transfer

Upon full payment, all rights to the delivered content transfer to the client, except as noted below.

6.2 Portfolio Rights

We reserve the right to display completed work in our portfolio and marketing materials unless specifically agreed otherwise.

6.3 Third-Party Content

Client warrants they have rights to any materials provided to us. We are not responsible for copyright infringement from client-provided content.

6.4 Attribution

Unless otherwise agreed, we may include a byline or credit on published content.

7. Confidentiality

Both parties agree to maintain confidentiality regarding:

  • Proprietary business information
  • Trade secrets and strategies
  • Unpublished content and plans
  • Pricing and contract terms

This obligation survives termination of services.

8. Content Standards

We reserve the right to decline projects involving:

  • Illegal activities or content
  • Hate speech or discrimination
  • Misleading or fraudulent information
  • Adult or explicit content
  • Content violating third-party rights
  • Unethical or harmful practices

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that services will be performed professionally and in accordance with industry standards.

9.2 No Guarantee of Results

While we strive for excellence, we cannot guarantee specific outcomes such as traffic increases, sales, or search rankings.

9.3 Content Disclaimer

Content is provided for informational purposes. Client is responsible for legal and regulatory compliance.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the amount paid for the specific service
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for third-party actions or platforms
  • Total liability shall not exceed the project value

11. Indemnification

Client agrees to indemnify and hold harmless Freelance Writer Services from any claims arising from:

  • Use of delivered content
  • Breach of these terms
  • Violation of laws or third-party rights
  • Client-provided information or materials

12. Termination

12.1 Termination by Client

Client may terminate services with written notice. Payment is due for work completed.

12.2 Termination by Company

We may terminate services for:

  • Non-payment
  • Breach of terms
  • Unreasonable demands or behavior
  • Request for prohibited content

12.3 Effect of Termination

Upon termination, all outstanding payments become due immediately.

13. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, wars, or technology failures.

14. Dispute Resolution

14.1 Good Faith Resolution

Parties agree to attempt resolution through good faith negotiation before pursuing legal action.

14.2 Arbitration

Unresolved disputes shall be settled through binding arbitration in accordance with applicable arbitration rules.

14.3 Governing Law

These terms are governed by the laws of the applicable jurisdiction, without regard to conflict of law provisions.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between parties and supersede all prior agreements.

15.2 Amendments

We reserve the right to modify these terms. Continued use of services constitutes acceptance of modified terms.

15.3 Severability

If any provision is deemed invalid, remaining provisions continue in full force.

15.4 Waiver

Failure to enforce any provision does not constitute waiver of that provision.

15.5 Assignment

Client may not assign rights without written consent. We may assign rights to successors or affiliates.
